- Not share login credentials with unauthorized persons

4.5 Invoice & Billing Procedures
- Invoice Issuance: Issued upon project commencement or monthly (for recurring services)
- Payment Due Date: 7-15 days from invoice date (as per agreement)
- Late Payment Interest: 2% per month or as per agreement
- Overdue Payment: Services may be suspended after 30 days of non-payment
- Taxes: GST (18%) added to all invoices
- Invoice Copies: Available via email or client portal
4.6 Refund & Money-Back Policy

Refunds are generally NOT available once work has commenced on your project.
However, we understand that circumstances can change. Here are our refund guidelines:
Refunds Allowed (Within 7 Days):
- Duplicate payment/payment error (full refund)
- Client requests cancellation within 48 hours of payment (50% refund)
- Service not started yet (full refund minus processing fees)
Refunds NOT Allowed:
- Work has commenced on the project
- Design concepts or mockups have been created
- Code has been written or deployed
- Domain or hosting purchased (non-refundable)
- Services rendered for more than 48 hours
- Client-initiated scope changes or additions
- Custom solutions or bespoke development
- Bulk SMS/Email credits used
- Hosting/subscription services for any duration
Partial Refund Calculation:
If refund is approved, it will be calculated as:
- Total Amount Paid - (Hourly Rate à Hours Worked) - Expenses Incurred = Refund Amount
- Refund will be processed within 7-10 business days
- Refund to original payment method
- Bank transfer refunds may take 2-3 additional days
5. Project Delivery & Timelines
5.1 Timeline Expectations
- Project timelines are estimates only, not guarantees
- Timelines are provided in the Statement of Work (SOW)
- Timelines assume consistent client feedback and approvals
- Timelines are dependent on receiving all client materials on time
- Scope changes may extend timelines
5.2 Factors That May Delay Projects
Delays caused by Amuwa Infotech: We will extend timelines at no additional cost
Delays NOT caused by Amuwa Infotech (No liability):
- Client delays in providing feedback, approvals, or content
- Late or incomplete materials from client
- Scope changes or additional requirements
- Server downtime or third-party service outages
- Hosting provider issues or data center problems
- Payment delays or late payments
- Third-party API or service provider failures
- Natural disasters or force majeure events (earthquakes, fires, etc.)
- Government actions or regulations
- Pandemics or public health emergencies
5.3 Client Responsibilities for Timely Delivery
- Respond to communications within 24-48 hours
- Provide feedback and approvals promptly
- Deliver all content and materials on schedule
- Provide access to systems and accounts as needed
- Make timely decisions on design/functionality options
- Review and approve drafts within agreed timeframes
5.4 Revisions & Modifications
- Number of revision rounds included in package (typically 2-4 rounds)
- Additional revisions charged at hourly rate (âš1000-2000/hour)
- Revisions must be documented in writing
- Major scope changes = new project quote
- Revision requests should be consolidated to minimize back-and-forth
6. Intellectual Property Rights & Ownership
6.1 Amuwa Infotech Intellectual Property
All content, designs, code, templates, plugins, tools, and materials on our website and in our
possession are the exclusive intellectual property of Amuwa Infotech or our licensed partners. This includes:
- Website design and layout
- Logo, brand, and trademarks
- Graphics, images, videos, and multimedia
- Written content and articles
- Source code and programming logic
- Database structures and architecture
- Tools, utilities, and software
You may NOT reproduce, distribute, modify, or use any of our content without explicit written
permission. Violation may result in legal action.
6.2 Client Content & Materials
You retain all rights to content you create or provide to us (text, images, logos, videos, etc.).
By providing this content to Amuwa Infotech, you grant us a limited license to:
- Use it solely for your project
- Modify it to fit your website/project
- Store it on our servers
- Display it on your website after project completion
We will NOT use your content for other clients or purposes without your written consent. Upon
project completion and full payment, you own all original content you provided.
6.3 Custom Development Work & Ownership
UPON FULL PAYMENT: You receive ownership of:
- Custom design work created exclusively for your project
- Custom code and programming
- Project files and source code
- Templates created for your website
- All deliverables specified in the SOW
We RETAIN ownership of:
- Pre-existing components and tools
- Open-source software and plugins
- Third-party licensed code
- General methodology and processes
- Client list and testimonials (with permission)
6.4 Portfolio Rights & Showcase
Upon project completion, Amuwa Infotech may:
- Display your project in our portfolio
- Use project screenshots in marketing materials
- Write case studies about your project
- Mention your company name in our client list
- Share your project on social media
TO OPT OUT: Send written request within 30 days of project completion. We will
remove your project from our portfolio.
6.5 Third-Party Licenses & Compliance
Our services may use open-source software (GPL, MIT, Apache licenses, etc.) and third-party tools.
You agree to comply with all applicable open-source licenses. A complete list of
licenses and third-party components will be provided with your project deliverables.
âšī¸ Important: It is YOUR responsibility to ensure compliance with open-source
licenses and third-party terms used in your project.
7. Warranties, Disclaimers & Limitations
7.1 Limited Warranty
Amuwa Infotech warrants that:
- Services will be performed professionally and competently
- Delivered work will be free from defects in workmanship (30-day window)
- We will comply with all applicable laws and regulations
- Services will not intentionally violate third-party rights
7.2 What We DO NOT Warrant

rankings depend on:

- Backlink profile and authority
- User engagement and CTR
- Technical website health
- Age of domain and website

THEIR POSSIBILITY:

- Incidental Damages: Inconvenience, loss of use, business interruption
- Consequential Damages: Secondary effects of service failure
- Special Damages: Unique or unusual damages specific to your business

- We do NOT guarantee 100% website uptime
- We aim for 99.5% uptime for hosted services
- Planned maintenance may cause temporary downtime

12.2 Termination by Amuwa Infotech
Amuwa Infotech reserves the right to terminate services immediately if:
- You fail to pay invoices for 30+ days
- You violate these Terms and Conditions
- You engage in illegal or fraudulent activities
- You request work that is illegal, unethical, or harmful
- You repeatedly misuse our services or systems
- You repeatedly harass or threaten our team members
- Your website hosts illegal content (copyright, malware, etc.)
12.3 Effects of Termination
- Outstanding invoices remain due and payable immediately
- Website access may be restricted or suspended
- Hosting services may be disconnected
- Intellectual property transfer may be withheld until full payment
- No refunds for partially rendered services
13. Website Availability & Service Reliability
13.1 "As-Is" Service
